These terms govern use of this website and the sale of goods by Motto USA LLC, trading as Motto USA ("Motto", "we", "us"), to business customers ("you"). By placing an order you accept them. If you are ordering on behalf of a company, you confirm you are authorised to bind it.

1. Wholesale only

This site sells to businesses for resale or business use. It is not a consumer store. Accounts are opened by a Motto representative after review. We may decline or close an account at our discretion.

2. Account access

Sign-in credentials are issued to your account and must not be shared. The first sign-in requires you to replace the temporary password, because that password was handed over by a representative and is therefore not private. You are responsible for activity under your account. Tell us immediately at info@mottousa.com if you believe it has been compromised.

3. Pricing

Pricing is set per account and visible only after sign-in. It reflects the volume you move and is not a public price list. Prices are quoted per box and may change; the price that applies is the one shown at checkout when your order is submitted. Suggested retail prices are suggestions only and you remain free to set your own resale prices.

4. Orders

Quantities move in full boxes. Submitting an order is an offer to buy; a contract forms when we accept it, which we may do by confirming, invoicing or shipping. We may decline an order, including for stock, credit or compliance reasons.

We reserve the right to correct pricing or stock errors before shipment. If a corrected price is materially higher, we will contact you and you may cancel the affected line without charge.

5. Payment

Card and ACH payments are processed by Stripe. We do not receive or store your full card number. Established accounts may be approved for invoice terms; until then orders are prepaid. Payment authorisation alone is not proof of settlement, and ACH in particular can fail after authorisation.

We absorb payment processing costs. You pay the same price whichever method you choose and no surcharge is added.

6. Shipping, title and risk

Orders ship from our warehouse at 1445 Mac Arthur Dr Ste 116, Carrollton, TX 75007, normally within one to two business days. Shipping dates are estimates, not guarantees, and we are not liable for carrier delays.

Unless agreed otherwise in writing, title and risk of loss pass to you when the goods are handed to the carrier. Claims for loss or damage in transit are covered by our Return Policy.

7. Product information and compliance

Specifications, images and packaging may change. Where a product shows a regulatory mark such as FCC or RoHS, that mark is shown only where the certificate on file lists that product's model number. Where no mark is shown, certificates are available on request. Do not represent a product as certified beyond what our documentation states.

8. Resale conduct

You may resell Motto products in your ordinary course of business. You may not alter products or packaging, remove or obscure branding or safety markings, or present modified goods as Motto products. Private label programs are governed by their own written agreement.

9. Intellectual property

The Motto name, logo, packaging design and site content belong to us. Nothing here grants a licence beyond reselling the goods you buy in their original packaging.

10. Warranty

We warrant that goods will be free from defects in materials and workmanship under normal use at the time of delivery. Your remedy for defective goods is set out in the Return Policy. To the extent permitted by law, this replaces all other warranties, express or implied, including merchantability and fitness for a particular purpose.

11. Limitation of liability

To the extent permitted by law, our total liability arising out of any order is limited to the amount you paid for the goods giving rise to the claim. We are not liable for lost profits, lost sales or other indirect or consequential losses. Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

12. Indemnity

You will indemnify us against claims arising from your resale of the goods, including claims arising from statements you make about them that go beyond our documentation.

13. Electronic communications

By placing an order, opening an account or contacting us electronically, you consent to receive communications from us electronically, including order confirmations, shipping notices, invoices, policy updates and account notices. These satisfy any legal requirement that a communication be in writing.

14. Email and text messages

Transactional messages about your orders and account are part of the service and are not marketing. If you give us your mobile number and opt in, we may send recurring text messages about orders, stock and promotions. Message frequency varies and message and data rates may apply. Consent to marketing texts is never a condition of buying from us. Reply STOP to opt out or HELP for help, or write to info@mottousa.com. Carriers are not liable for delayed or undelivered messages. Opting out of marketing does not stop transactional messages.

15. Third-party services

We link to and rely on third parties including payment processors, carriers and hosting providers. We do not control them and are not responsible for their content or practices. Your use of their services is subject to their own terms.

16. Suspension and termination

We may suspend or close an account at any time, including for suspected fraud, abuse, non-payment, or conduct that harms us, our partners or third parties. Outstanding invoices remain due.

17. Governing law and venue

These terms and any dispute arising from them, this site, or the goods sold through it are governed by the laws of the State of Texas, without regard to conflict of laws rules. Any claim must be brought in the state or federal courts located in Texas, and both parties submit to the personal jurisdiction of those courts. Nothing here prevents either party from seeking injunctive relief where available.

18. Changes

We may update these terms. The version in force for an order is the version published when the order was submitted.

19. Severability

If any provision is held invalid or unenforceable, the rest remains in force and that provision is narrowed to the minimum extent needed to make it enforceable.

20. Entire agreement

These terms, together with the Privacy Policy and Return Policy, are the entire agreement between us about this site and the goods sold through it. A signed private label or supply agreement, where one exists, takes precedence over these terms to the extent they conflict.
